By accessing our website or entering into an agreement with Westport Interactive Media LLC, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.

1. Services Provided

Westport Interactive Media LLC provides digital marketing services, including but not limited to website development, search engine optimization (SEO), social media marketing, digital advertising, streaming advertising, email marketing, branding, creative services, and other related marketing solutions.

The scope of services, deliverables, timelines, pricing, and specific project requirements will be outlined in individual proposals, agreements, or statements of work provided to clients.

2. Client Responsibilities

Clients agree to provide accurate, complete, and timely information, materials, approvals, access credentials, and other resources necessary for Westport Interactive Media LLC to perform services effectively.

Delays caused by missing information, delayed approvals, or lack of client cooperation may impact project timelines and deliverables. The Company is not responsible for delays resulting from circumstances outside of its reasonable control.

3. Marketing Performance Disclaimer

Westport Interactive Media LLC uses industry best practices and professional strategies to develop and execute marketing campaigns; however, we do not guarantee specific results, including but not limited to increased revenue, sales, website traffic, leads, rankings, or customer acquisition.

Marketing performance may be influenced by numerous factors outside of the Company’s control, including market conditions, competition, pricing, customer demand, business operations, and client responsiveness.

4. Advertising Platforms & Third-Party Services

Digital marketing campaigns may utilize third-party platforms and services, including but not limited to search engines, social media platforms, streaming platforms, advertising networks, analytics providers, and website hosting services.

Westport Interactive Media LLC is not responsible for changes, interruptions, policy updates, algorithm changes, account restrictions, or service disruptions caused by third-party platforms.

5. Client Content & Intellectual Property

Clients are responsible for ensuring that any materials provided to Westport Interactive Media LLC, including logos, images, text, trademarks, videos, and other content, are owned by the client or that the client has appropriate rights and permissions to use such materials.

The client agrees to indemnify Westport Interactive Media LLC from claims arising from unauthorized use of client-provided materials.

Unless otherwise agreed in writing, Westport Interactive Media LLC retains ownership of its proprietary processes, strategies, templates, tools, and internal methodologies used in providing services.

6. Payment Terms

Clients agree to pay all fees outlined in proposals, contracts, invoices, or service agreements. Payment terms may vary depending on the scope of work and will be communicated prior to the commencement of services.

Failure to make timely payments may result in the suspension of services, delayed deliverables, or termination of the client relationship. Westport Interactive Media LLC reserves the right to pursue all available legal remedies to collect any outstanding balances, unpaid invoices, or debts incurred by the client for marketing services rendered. The client shall be responsible for any reasonable costs associated with collection efforts, including applicable legal fees, court costs, and related expenses, to the extent permitted by law.

7. Cancellation & Termination

Either party may terminate services according to the terms outlined in the applicable client agreement. Clients requesting cancellation of services must provide written notice within the required cancellation period.

For website services, clients are required to provide a minimum of sixty (60) days written notice prior to the website renewal date in order to cancel website hosting, maintenance, management, or related website services. Failure to provide timely notice may result in renewal charges and continued service obligations for the applicable renewal term.

For all other digital marketing services, including but not limited to SEO, digital advertising, social media marketing, streaming advertising, email marketing, and related marketing services, clients must provide a minimum of thirty (30) days written notice prior to cancellation.

Upon termination, clients remain responsible for payment of all services rendered, approved expenses, advertising costs, and any outstanding balances incurred prior to the effective termination date. Westport Interactive Media LLC reserves the right to suspend or discontinue services if payment obligations are not met, if required cancellation notice is not provided, or if a client engages in conduct that negatively impacts the Company, its reputation, employees, partners, or vendors.

Westport Interactive Media LLC reserves all rights to pursue collection of unpaid balances in accordance with applicable laws and the terms of the client agreement.

8. Website Use

All content on this website, including text, graphics, logos, designs, and other materials, is the property of Westport Interactive Media LLC unless otherwise stated and may not be copied, reproduced, or distributed without written permission.

9. Limitation of Liability

To the fullest extent permitted by law, Westport Interactive Media LLC shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of our services, website, or third-party platforms.

Our total liability shall not exceed the amount paid by the client to Westport Interactive Media LLC for the specific services giving rise to the claim.

10. Privacy

Westport Interactive Media LLC respects your privacy. Any information collected through our website or services will be handled in accordance with our Privacy Policy.

11. Changes to These Terms

Westport Interactive Media LLC reserves the right to modify these Terms & Conditions at any time. Updated terms will be posted on this website with the revised effective date.

12. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the State of Connecticut, without regard to conflict of law principles.
